These Terms & Conditions govern all development, sampling, and production services provided by MatrixPro. They reflect our structured, disciplined manufacturing approach and are designed to protect both MatrixPro and our brand partners through clarity and defined responsibility.

1. Quotations & Scope of Work

All quotations are based on information provided at the time of enquiry, including design specifications, fabric requirements, quantity projections, and branding details. Any modification to these specifications may result in revised pricing or timeline adjustments. Production scope is confirmed only after written acceptance of quotation and receipt of deposit.

2. Development & Sampling Approval

Sampling is mandatory for all new custom designs unless otherwise agreed in writing. Bulk production commences only after written approval of sample, grading confirmation, artwork positioning, and technical specifications. Once approved, structural or measurement changes cannot be introduced during bulk production.

3. Payment Structure

Payment terms are confirmed at project initiation. Standard arrangements include a production deposit and final balance prior to dispatch. All banking charges, transfer fees, and currency fluctuations remain the
responsibility of the Client unless otherwise agreed.

4. Production Timelines

Production timelines are estimated based on fabric availability, order size, and confirmed capacity. While MatrixPro operates structured scheduling systems, delays caused by fabric suppliers, logistics providers, customs processes, or force majeure events are outside our direct control.

5. Quality & Manufacturing Tolerance

Due to the nature of textile production, a standard tolerance of ±1–2 cm may apply depending on garment type and fabric behaviour. Minor colour variation between sampling and bulk may occur due to dye batch differences or calibration adjustments. Such variations do not constitute defects.

6. Limitation of Liability

MatrixPro’s liability is limited to the value of the affected production order. We are not liable for indirect losses, retail performance, loss of profit, market conditions, or downstream commercial outcomes.

7. Governing Law

These Terms are governed by the laws of England and Wales. Any dispute shall be resolved under the jurisdiction of the courts of England and Wales.
