Non-Disclosure Agreement (NDA)

Between:
Matrix Sports UK Ltd. (“Recipient”)
and
[Client Name] (“Discloser”)

To protect confidential business, design, and manufacturing information exchanged between the parties during discussions and projects.

Includes all non-public data such as sketches, tech packs, pricing, materials, marketing plans, product samples, and supplier details shared verbally, digitally, or in writing.

• The Recipient shall not disclose, reproduce, or use any Confidential Information for purposes other than project development.
• Access is limited to employees and contractors directly involved in the project and bound by the same confidentiality.

Confidential information does not include:

• Information publicly available without breach.
• Information lawfully obtained from third parties.
• Information independently developed without use of the other’s data.

This Agreement remains effective for three (3) years from the last exchange of confidential information.

Upon request, all confidential materials must be returned or destroyed immediately after project completion.

This Agreement shall be governed by the laws of England and Wales.
