Master Service Agreement (MSA)

Matrix Sports UK Ltd. (“Service Provider”)

1. Purpose
This Agreement governs the full-service design, sampling, and manufacturing support provided by Matrix Sports UK to the Client for sportswear, team kits, and related apparel and accessories.
2. Scope of Services
Matrix Sports UK agrees to provide one or more of the following:
- Product concept development, design, and technical packs
- Fabric and material sourcing
- Sampling and prototype development
- Full-scale manufacturing
- Packaging and shipment coordination
Each project’s detailed specifications, pricing, and timelines shall be outlined in a Work Order attached to this Agreement.
3. Fees & Payment Terms
- A 50% deposit is required to confirm each project before production begins.
- The remaining 50% balance is due prior to shipment.
- Late payments beyond 7 working days of due date may incur a 2% monthly late fee.
- All prices exclude taxes, duties, and shipping unless otherwise specified.
4. Project Timeline
- Lead times are estimated in the Work Order and may vary based on fabric availability and client approvals.
- Any delay caused by client approval or payment will extend delivery dates proportionally.
5. Client Responsibilities
The Client agrees to:
- Provide accurate design input, logos, and color codes.
- Review and approve samples or digital mock-ups promptly.
- Not reproduce Matrix Sports UK’s patterns or materials without written consent.
6. Intellectual Property
Ownership of all final approved designs shall belong to the Client, while Matrix Sports UK retains rights to underlying base patterns, templates, and development resources (see IP Policy).
7. Confidentiality
Both parties agree to keep all shared information, technical data, and business details strictly confidential as defined in the NDA.
8. Liability & Warranty
Matrix Sports UK warrants products are made to agreed specifications.In case of manufacturing defects, the Client may request repair or replacement within 14 days of receiving goods.Matrix Sports UK is not liable for indirect or consequential losses.
9. Termination
Either party may terminate this Agreement with 14 days written notice, provided all outstanding payments and ongoing project costs are settled.
10. Governing Law
This Agreement shall be governed by and construed under the laws of England and Wales, and any dispute shall be resolved under UK arbitration procedures.
